Terms of the Developer Marketplace.

1. Parties.

This agreement is between Zenara Jaya Sdn Bhd ("Zenara Jaya") and you ("Developer"), the holder of the marketplace account registered to your email address.

2. Submissions and entry fee.

For each challenge you enter, you must pay the entry fee shown on the challenge listing before your submission is reviewed. Entry fees are non-refundable, including if your submission is rejected, flagged, or fails to clear an auction.

3. Originality and anti-cheat.

You represent and warrant that each submission is your original work, created during the relevant challenge window, and that you hold all rights necessary to assign it to Zenara Jaya. You will not submit AI-generated code, public templates, or material copied from another author. We use both AI-assisted and human review to detect violations; confirmed violations may result in:

• Forfeited entry fees,
• Account suspension,
• Removal from the leaderboard.

4. IP assignment on sale.

On the moment a submission of yours sells via auction, you irrevocably assign to Zenara Jaya all right, title and interest — including copyright, moral rights to the extent waivable, trademarks, trade secrets, and any related rights — in and to the submission and all its components, in all media now known or later devised, in perpetuity. Zenara Jaya may then sublicense the work to the auction winner under whatever terms it sees fit.

5. Revenue share.

For each submission of yours that clears at auction, Zenara Jaya owes you 50% of the gross winning bid amount (in MYR), less any payment-processing fees the buyer's bank deducts before funds reach Zenara Jaya. Zenara Jaya retains the remaining 50% as platform fee.

6. Payout schedule and method.

Payouts are issued manually via bank transfer (or any other transaction method we approve in writing) within fourteen (14) calendar days after the buyer's funds clear into Zenara Jaya's account. You are responsible for providing accurate payout details when prompted. Tax withholding, where applicable, is your responsibility.

7. Submissions that don't sell.

If your submission is approved but does not receive any bid by auction close, no payout is owed and the IP remains with you. We may, at our option, re-list it in a future auction window with your written consent.

8. Refusal of submission.

Zenara Jaya may, at its sole discretion, reject any submission that fails the AI score threshold, fails human review, contains malicious or unsafe code, or violates any law. Rejection forfeits the entry fee but does not transfer IP — the work remains yours.

9. Buyer interactions.

After a submission sells, Zenara Jaya is the merchant of record between Developer and Buyer. You will not contact the buyer directly except through channels Zenara Jaya provides, and you will not solicit private side-deals to bypass platform fees.

10. Account, suspension and termination.

Zenara Jaya may suspend or terminate your account for violations of these terms, with notice via the email on your account. Outstanding payouts owed at termination remain payable on the normal schedule.

11. Liability.

Both parties' aggregate liability under this agreement is capped at the total payouts paid to the Developer by Zenara Jaya in the prior twelve (12) months. Neither party is liable for indirect, consequential, or special damages.

12. Governing law and disputes.

This agreement is governed by the laws of Malaysia. The parties will attempt to resolve disputes amicably. Failing that, the courts of Sarawak have exclusive jurisdiction.
